Welcome to Synterial ("we," "our," "us," or the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Synterial website, AI Generation Studio, Creator Marketplace, and related services.
By creating an account, accessing, or using Synterial, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Platform.
1. Account Registration & Eligibility
1.1 Age Requirement: You must be at least 18 years of age to create an account, process payments, or participate in the Creator Marketplace.
1.2 Account Security: You are responsible for maintaining the confidentiality of your password and account credentials.
1.3 Independent Contractors: If you use the Creator Marketplace, you acknowledge that you are an independent contractor. You are not an employee, partner, or agent of Synterial.
2. Digital Goods, Tokens, and Subscriptions
Synterial offers subscription plans (e.g., Professional, Business) that grant "Tokens" used to access our AI Generation Studio.
2.1 Consumable Goods: "Tokens" represent computational server time required to process AI media via third-party APIs (e.g., OpenRouter). Once Tokens are consumed by initiating a generation request, they are permanently deducted from your account.
2.2 No Refunds: All payments made to Synterial via Stripe are strictly non-refundable. Because our AI generation incurs immediate, hard computational costs on our end, we do not offer refunds for unused Tokens, partially used subscription periods, or dissatisfaction with AI-generated outputs.
2.3 Chargebacks: Filing a fraudulent chargeback with your bank or credit card provider will result in the immediate and permanent termination of your account, and the forfeiture of any pending Wallet balances.
3. The Creator Marketplace & Financials
The Synterial Creator Marketplace allows Businesses to post creative requests ("Jobs") and Creators to submit AI-generated media for compensation.
3.1 Venue Only: Synterial acts solely as an intermediary and venue. We do not guarantee that a Business will approve your submission. Funds are only released to a Creator if and when the Business or Platform Administrator explicitly approves the submitted work.
3.2 Platform Commissions (Fees): Synterial charges a platform fee for facilitating the marketplace. Synterial retains exactly fifty percent (50%) of the total gross Job Price listed. When a submission is approved, the Creator's Wallet is credited with the remaining 50% net payout, minus any computational Token costs incurred by the Creator during the project.
3.3 Withdrawals: Creators may request a withdrawal of their Wallet balance to a configured Bank Account or DuitNow QR once the balance reaches the minimum threshold of $10.00 USD. Synterial reserves the right to delay payouts up to 30 days for fraud investigation.
4. FTC Compliance and Social Media Disclosures
4.1 Endorsement Guidelines: If you are a Creator submitting content to the Marketplace and posting it to your personal social media channels, you assume full legal liability for complying with local advertising laws.
4.2 Required Disclosures: In accordance with the Federal Trade Commission (FTC) in the US, the CMA in the UK, and equivalent global bodies, you must clearly and conspicuously disclose your financial relationship with the brand. You must include tags such as #ad or #sponsored in the caption of any compensated post, even if Synterial or the Business provided a pre-written caption.
4.3 Indemnification for Disclosures: Synterial holds zero liability for your failure to properly disclose sponsored content.
5. AI Content and Intellectual Property Rights
5.1 No Warranty on Outputs: Synterial utilizes third-party AI models (including Google Veo 3.1 and Nano Banana) to generate media. We make no representations or warranties that the generated content is copyrightable, legally protectable, or free from third-party intellectual property claims.
5.2 User Responsibility: You are solely responsible for the text prompts and reference images you input into the Platform. You must not use Synterial to generate content that infringes upon the copyrights, trademarks, or likenesses of third parties (e.g., prompting for trademarked logos or recognizable public figures).
5.3 Commercial Rights: Subject to your compliance with these Terms and third-party IP rights, Synterial grants you the commercial rights to use the outputs generated by your account.
6. Account Termination and Forfeiture
6.1 Right to Terminate: Synterial reserves the right to suspend or permanently terminate your account at any time, for any reason, at our sole discretion, without prior notice.
6.2 Wallet Forfeiture: If your account is terminated due to a violation of these Terms, suspected fraud, money laundering, chargeback abuse, or submission of plagiarized/stolen content, any remaining balance in your Synterial Wallet will be immediately and permanently forfeited to cover administrative damages.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYNTERIAL, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL SYNTERIAL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SYNTERIAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).
8. Indemnification
You agree to indemnify, defend, and hold harmless Synterial from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your failure to comply with FTC endorsement guidelines.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Kuala Lumpur, Malaysia, and you hereby consent to the personal jurisdiction and venue therein.
10. Modifications to Terms
We reserve the right to modify or replace these Terms at any time. Material changes will be communicated via your registered email or a notice on the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the new Terms.
